Terms of Service

1. Acceptance of Terms

By accessing or using the iQuity platform at iquity.fyi ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must not access or use the Platform. These Terms constitute a legally binding agreement between you and iQuity ("Company," "we," "us," or "our").

We reserve the right to modify these Terms at any time. Changes become effective upon posting to the Platform. Your continued use after changes constitutes acceptance of the revised Terms.

2. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into binding agreements to use our Platform. By using our services, you represent and warrant that you meet these requirements. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Registration

To access certain features of the Platform, you must create an account. You agree to:

  • Provide accurate, current, and complete registration information
  • Maintain and promptly update your account information
  • Keep your password confidential and secure
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

4. Platform Services

iQuity provides a real estate deal submission, tracking, and management platform. Our services include but are not limited to:

  • Deal submission and evaluation tools
  • Portfolio tracking and equity monitoring
  • Document management and storage
  • Communication between deal participants
  • Dashboard analytics and reporting

We do not guarantee the success of any real estate transaction. Our Platform facilitates deal management but does not provide real estate, legal, financial, or investment advice.

5. Deal Submissions

When submitting a deal through the Platform, you agree to:

  • Provide accurate and truthful property information, including address, valuations, and financial details
  • Upload only authentic and unaltered documents
  • Ensure you have the right to submit the deal and share associated information
  • Not submit fraudulent, misleading, or deceptive deals
  • Comply with all applicable local, state, and federal real estate laws and regulations

iQuity reserves the right to reject, remove, or flag any deal submission that violates these Terms or appears fraudulent.

6. Intellectual Property

All content, features, and functionality of the Platform — including text, graphics, logos, icons, images, software, and the iQuity brand — are owned by iQuity or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, or publicly display any content from the Platform without our prior written consent.

7. User Content

By submitting content to the Platform (including deal information, documents, and communications), you grant iQuity a non-exclusive, worldwide, royalty-free license to use, process, store, and display such content solely for the purpose of providing and improving our services.

You retain ownership of your content but are responsible for ensuring it does not infringe on any third-party rights or violate any laws.

8. Prohibited Conduct

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable laws
  • Impersonate any person or entity or misrepresent your affiliation
  • Interfere with or disrupt the Platform or its servers and networks
  • Attempt to gain unauthorized access to any portion of the Platform
  • Use automated systems (bots, scrapers, crawlers) to access the Platform
  • Transmit viruses, malware, or any harmful code
  • Harass, threaten, or intimidate other users
  • Submit false, misleading, or fraudulent information
  • Circumvent any security features or access controls

9. Fees and Payments

Certain features or services on the Platform may require payment of fees. All fees are stated in U.S. dollars and are non-refundable unless otherwise specified. We reserve the right to change our fee structure with reasonable notice. Failure to pay applicable fees may result in suspension or termination of your access to paid features.

10. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted, error-free, or secure. We do not guarantee the accuracy, completeness, or reliability of any content on the Platform.

iQuity is not a real estate broker, agent, or financial advisor. Any information provided on the Platform is for informational purposes only and should not be relied upon as professional advice.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IQUITY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless iQuity and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) shall survive.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of Florida.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and iQuity regarding your use of the Platform and supersede all prior agreements, understandings, and communications.
